Terms of Use

Introduction
Welcome to Verifine Academy! We are pleased to provide you with access to our online teaching and learning platform (the "Platform"). These Terms of Use ("Terms") govern your use of the Platform, whether you are a registered user, an unregistered visitor, or an educator. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or any part of them, you must not use the Platform.
Your continued use of the Platform, including after any updates or modifications to these Terms, constitutes your acceptance of the revised Terms. We encourage you to review these Terms regularly to stay informed about your rights and obligations.
Definitions
The following terms have the meanings set out below for the purposes of these Terms of Use:
- "You" or "Your" or “User” or “Users”: Refers to you, the person accessing or using the Platform, whether as a registered user, unregistered visitor, or educator.
- "The Company", "Our Company", "Ourselves", "We", "Our", and "Us": Refers to Verifine, the company that owns and operates the Platform.
- "Educator" or "Educators": Refers to individuals or entities who create, publish, or offer courses, training materials, or other educational content on the Platform, including course instructors, teachers, and course authors.
- "Platform": Refers to Verifine Academy, our online teaching and learning platform, including the website www.verifine.ai, associated mobile applications, APIs, and any related services.
- "Content": Refers to all materials, information, and resources available on the Platform, including but not limited to text, images, videos, audio, software, and course materials.
- "User Submissions": Refers to any content, data, or materials submitted, uploaded, or shared by users on the Platform, including but not limited to reviews, comments, assignments, questions, and course materials.
- "Third-Party Services": Refers to any websites, applications, services, or content provided by third parties that are linked to or integrated with the Platform.
Unless the context otherwise requires, words in the singular include the plural and vice versa, and words in capitalised and uncapitalised forms are interchangeable and refer to the same meaning.
Account Registration and Access
Minimum Age: To register an account on the Platform, you must be at least 13 years old and have reached the digital age of consent required in your country. If you are under the age of 13 or have not reached the digital age of consent in your country, you may only register and use an account on the Platform with the explicit consent of your parent or legal guardian. By registering an account, you confirm that you meet these age requirements.
Parental Consent for Users Under 13 or Below Digital Age of Consent: If you are under 13 years old, your parent or legal guardian must complete and submit a parental consent form, which can be requested by contacting us at contact@verifine.ai. We reserve the right to verify parental consent before granting access to the Platform.
Registration: To access certain features of the Platform, you may be required to create an account. You agree to provide accurate and complete information when creating your account and to update your information as necessary to keep it accurate and complete. If you create an account or use the Platform on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.
Security: You are responsible for ensuring the security and confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.
Account Deletion: You may delete your account at any time by accessing your account settings or by contacting us at support@verifine.ai. Please note that deactivating or deleting your account will result in the loss of access to your account data, including course progress, certificates, and other information. Once your account is deleted, it cannot be restored.
Payment and Refunds
Payment for Courses: Some courses on the Platform may require payment. You agree to pay all applicable fees and taxes associated with your purchases. All payments are processed through our third-party payment gateway, PayStack.
Policy Refund
- Failed Transactions: If a transaction fails but your account is deducted, an automatic refund will typically be initiated within 24 hours. If you do not receive the refund within this timeframe, please contact us at support@verifine.ai with proof of the failed transaction (e.g., a receipt or screenshot). We will mediate with PayStack to ensure your refund is processed.
- Technical Issues: If the Platform is inaccessible for more than 4 consecutive hours due to a technical issue caused by the Platform, we will compensate affected users with equivalent extended access to the course(s). For example, if the outage lasts 5 hours, users will receive an additional 5 hours of access. To qualify, you must report the issue to us at support@verifine.ai within 7 days of the outage.
- Planned Maintenance: Outages during planned maintenance (e.g., site upgrades) do not qualify for compensation. We will notify you in advance of any planned maintenance and its expected duration.
- No Refunds for Successful Purchases: Once a course purchase is successfully completed, no refunds will be granted, even if you do not start or complete the course.
Currency and Taxes
- Currency: All payments on the Platform are processed in Ghana Cedis (GHS). If you are using a payment method from another country, your payment provider may convert the amount to your local currency. Any currency conversion fees or exchange rates are determined by your payment provider, and we are not responsible for such fees or rates.
- Taxes: All prices displayed on the Platform are inclusive of applicable taxes, including Value Added Tax (VAT), unless otherwise stated. You are responsible for paying all applicable taxes associated with your purchases on the Platform. These taxes are included in the displayed prices and will be clearly indicated during the checkout process.
Transaction Charges: Please note that transaction charges imposed by PayStack are non-refundable.
Refund Processing Time: Refunds, when approved, will be processed within 3 business days. The refund will be credited to the original payment method used for the transaction.
Content
Educator Responsibilities:
- Educators are solely responsible for ensuring that their course content complies with intellectual property laws and Platform guidelines. Courses must be secular in content and free from prohibited material.
- Educators may not incorporate any copyrighted content, including but not limited to text, images, multimedia, or other materials, in their courses without proper authorization.
Prohibited Content:
You may not create, upload, post, share, or otherwise distribute any content that:
- Is illegal, harmful, or promotes illegal or harmful activities, including but not limited to violence, terrorism, child exploitation, human trafficking, sexual violence, harassment, discrimination, betting or gambling, and unauthorized practice of professions.
- Contains hate speech, defamatory statements, or content that violates the rights of others.
- Is obscene, pornographic, or otherwise inappropriate for an educational platform.
This applies to all content on the Platform, including but not limited to course materials, chat messages, forum posts, reviews, comments, assignments, and questions.
Content Moderation:
We reserve the right to remove or modify any content that violates these Terms. We are not obligated to monitor all content on the Platform but may do so at our discretion to ensure compliance.
User Submissions
Content Submitted in Connection with a Course:
When you submit content in connection with a course (e.g., questions, answers, assignment responses, or discussion posts), you grant the educator(s) of that course a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your content for purposes related to the course and the Platform.
Content Submitted Outside a Course:
When you submit content outside of a course (e.g., reviews, comments, or general feedback), you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute your content in connection with the Platform.
Your Ownership:
You retain ownership of any content you submit to the Platform. However, by submitting content, you agree to the licenses granted above.
Content Standards:
You represent and warrant that any content you submit complies with these Terms and does not infringe on the rights of any third party or individual.
Intellectual Property
Platform Content: All content outside of courses on the Platform, including but not limited to text, images, and other materials, is protected by copyright and other intellectual property laws. You may not copy, distribute, or use any content from the Platform without our prior written permission.
Course Content: All content within a course remains the intellectual property of the respective educator. We respect the copyright of educators in relation to their courses. You may not copy, distribute, or use any course content without permission from the respective educator(s).
Third-Party Links and Services
Our Platform may contain links to third-party websites, services, or resources that are not owned or controlled by us. These links are provided for your convenience only, and we do not endorse, sponsor, or assume any responsibility for the content, privacy practices, or actions of these third parties. Your use of third-party websites, services, or resources is at your own risk.
We strongly advise you to review the terms of use and privacy policies of any third-party websites or services before using them. We are not liable for any loss or damage caused by your use of or reliance on third-party content, services, or resources.
Privacy Policy
Your privacy is important to us. We collect and use your personal data to provide and improve our services, personalize your experience, and communicate with you. This includes information you provide when creating an account (e.g., name, email address, payment information) and data about your activity on the Platform (e.g., course progress, interactions with other users). We may also automatically collect technical information, such as your IP address and device type, through cookies and analytics tools.
We may share your information with third parties, such as payment gateways, educators, and legal authorities, as necessary to provide our services or comply with the law. Disclaimer of Warranties
This Platform and all information, content, materials, and services made available to you are provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, about the accuracy, completeness, reliability, or availability of the Platform or any content therein.
Course Quality and Outcomes:
- We do not guarantee that any course, material, or service on the Platform will meet your expectations or requirements.
- We do not guarantee that users will achieve specific results, outcomes, or certifications by using the Platform or any course offered on it.
- Educators are solely responsible for the quality, accuracy, and relevance of their course content.
Platform Availability:
- We do not guarantee that the Platform will be uninterrupted, error-free, or available at all times.
- The Platform may be temporarily unavailable due to maintenance or other reasons beyond our control. We are not responsible for any inconvenience or loss caused by such downtime.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
For Users
To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Platform, including but not limited to:
- Loss of profits, revenue, data, or goodwill.
- Costs of substitute goods or services.
- Business interruption or other commercial damages.
Our total liability to you for any claims arising out of or related to the Platform will not exceed the total fees you paid to us in the 12 months preceding the event giving rise to the liability.
For Educators
Educators are solely responsible for the content they create, upload, and sell on the Platform. To the fullest extent permitted by law, our total liability to educators for any claims arising out of or related to the Platform will not exceed the total revenue earned by the educator from the Platform in the 12 months preceding the event giving rise to the liability.
Exceptions
This limitation of liability does not apply to:
- Damages caused by the Company’s gross negligence or willful misconduct.
- Liability that cannot be limited or excluded under applicable law.
Indemnity
You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and expenses) arising out of or in connection with:
- Your use of the Platform.
- Your violation of these Terms of Use.
- Your violation of any applicable laws or regulations.
- Any content you submit, post, or transmit through the Platform.
- Your infringement of any third-party rights, including intellectual property rights.
Governing Law and Dispute Resolution
Governing Law: These Terms of Use are governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles.
Dispute Resolution:
- Negotiation and Mediation: In the event of any dispute arising out of or in connection with these Terms of Use, the parties agree to first attempt to resolve the dispute through good-faith negotiation or mediation.
- Court Jurisdiction: If the dispute cannot be resolved through negotiation or mediation, it shall be resolved exclusively in the courts of Ghana. The parties agree to submit to the exclusive jurisdiction of the courts located in Accra, Ghana.
Changes of Terms
We reserve the right to update or modify these Terms of Use at any time without prior notice. Any changes will be effective as of the revised date stated at the top of this page. We will notify you of significant changes by posting an announcement on the Platform.
Your continued use of the Platform after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.
Termination and Suspension
Termination by You: You are free to stop using the Platform at any time. You may deactivate or delete your account as described in the "Account Registration and Access" section.
Termination or Suspension by Us: We reserve the right to terminate or suspend your access to the Platform, or delete your account, at our sole discretion if we determine:
- You have breached these Terms.
- We must do so to comply with the law.
- Your use of the Platform could cause risk or harm to the Company, the Platform itself, our users, or anyone else.
- Your account has been inactive for over a year, and you are not enrolled in any course. In such cases, we may provide you with advance notice.
Reporting to Authorities: We retain the right, at our sole discretion, to report any serious breaches of these Terms to the relevant authorities.
Appeals: If you believe we have suspended or terminated your account in error, you can file an appeal with us by contacting Site Administrators at support@verifine.ai.
Force Majeure
We will not be liable for any failure or delay in the performance of our obligations under these Terms of Use if such failure or delay is caused by events beyond our reasonable control, including but not limited to:
- Natural disasters (e.g., earthquakes, floods, hurricanes).
- Acts of war, terrorism, or civil unrest.
- Government actions, regulations, or restrictions.
- Epidemics, pandemics, or public health emergencies.
- Strikes, labor disputes, or shortages of labor or materials.
- Power outages, internet failures, or other technical disruptions beyond our control.
In such cases, we will make reasonable efforts to notify you of the disruption and resume normal operations as soon as possible. However, we are not responsible for any inconvenience, loss, or damage caused by such events.
Entire Agreement
These Terms of Use, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Verifine regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, representations, warranties, or understandings, whether written or oral, relating to the subject matter herein.
Severability
If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that most closely matches the intent of the original provision.
